Bylaws of the Eldora Public Library Board of Trustees


I. Name and Purpose

A. The Eldora Public Library Board of Trustees, hereafter referred to as the Board.

B. The Board will comply with the Iowa Code in all questions of library law and governance and will further comply with the regulations set forth in the city's library ordinance. The Board's specific powers and duties are set forth in the library ordinance.


II. Board Meetings

A. The Board shall meet on a regular basis once a month with additional meetings as needed.

B. A quorum shall consist of 4 members.

C. The Board shall comply with Iowa's Open Meetings law by printing and posting a copy of its agenda 24 hours prior to the meeting.

D. The Board shall record its proceedings as minutes and shall keep copies of the minutes available for public inspection.

E. The director or the assistant director of the Eldora Public Library shall attend each meeting of the Board.

F. The Board will conduct its meetings according to parliamentary procedure as detailed in the latest edition of Robert's Rules of Order.


III. Officers

A. Officers shall be the Board president, vice president, and secretary and shall be elected at the annual meeting in June.

B. The president shall preside at all meetings of the Board, appoint committees, call special meetings, sign all documents authorized by the Board, and perform all duties associated with the office.

C. In the event of the absence or disability of the president, or a vacancy in the presidency, the vice president shall assume and perform the duties and functions of the president.

D. The secretary shall take minutes at all board meetings and present them at the next board meeting for approval and generally perform all duties associated with the office.

E. If a vacancy occurs in any office the Board shall choose a successor at the first meeting following a vacancy. That person shall hold office until the next regular election of officers.


IV. Committees

A. The standing committees shall be: budget, personnel, and buildings & grounds.

B. The Budget Committee shall meet with the director on a timely basis each year to work out a preliminary budget to submit to the Board for discussion and approval before its submission to the City Council for approval.

C. The Personnel Committee, with the assistance of the library director, shall prepare job descriptions for all paid staff and volunteers, do an annual evaluation of the director and report such evaluation to the Board and perform such other duties relating to personnel as the Board may direct.

D. The Buildings & Grounds Committee shall be responsible for overseeing the maintenance and improvement of the library buildings and grounds.

E. Special committees may be appointed from time to time as may be necessary to perform the duties of the Board.

F. All committees shall be appointed by the president with no more than 3 board members appointed to any one committee.


V. Amendments

A. These bylaws may be altered or repealed, and new bylaws adopted by the board at any regular meeting or any special meeting called for that purpose. The proposed changes in the bylaws shall be submitted in writing to the members of the Board at least 10 days before the meeting for their consideration.
